Brian maintains a wide-ranging corporate practice in both commercial financial transactions (both borrower and lender-side), mergers and acquisitions, and business operational matters. He has advised both privately and publicly held businesses of all sizes, ranging from startups to multi-billion dollar revenue public companies, in these matters, ranging from commercial contract drafting and review, financial transactions including acquisition financing to operational lines of credit, cross-border mergers of technology companies, and dissolution and distressed asset workouts with lenders. Wherever a client is in the life cycle of their organization, Brian can provide a broad range of advice and guidance, including both transactional and pre-litigation matters.
Brian’s financing experience includes both borrower and lender-side financing transactions, representing both national commercial institutions, regional banks, and local credit unions. He has experience in both borrower-side and lender-side financing transactions of all varieties, from operating lines of credit to asset-based lending. In addition, Brian has experience assisting high-net-worth individuals with various financial transactions, from irrevocable life insurance trust loans to commercial real estate lending/borrowing, ship’s mortgages, and security interests in classic and antique autos.
Brian’s prior career was as a compliance analyst and network administrator for both regional banks and multi-billion-dollar commercial lending institutions, providing supervision and compliance operations relating to network security and data privacy, including compliance with the Gramm-Leach-Bliley Act, Dodd-Frank Act, and Sarbanes Oxley Act. Brian has specific experience assisting both banks and other organizations in technology matters, including privacy policies, terms of service, information technology contracts (MSAs, SOWs, and software licensing agreements), and operational/compliance matters. Brian brings both a legal understanding and a practical, operational IT-based understanding to the technology space.
